  • 2018 Annual Agreement - Entrymaster Lite

     

       1. Customer/ Organiser –

       2. Coverage: Entrymaster “Lite” Service until 31st December 2018

    To link to the Organisers current website with the proposed on line entry service.

    Ability to create event details online with online entry facility and basic reporting.

       3. Price and payment:

    Initial one off set up cost: Free of charge

    This includes testing of all components, functionality, compatibility and go live testing.

    Transaction Fees will be charged at 50p per online transaction payable quarterly in arrears.

    Additional hosting payable to cover to 31st December 2017: Free of charge

       4. Delivery Dates:

    Within 72 hours of a signed contract.

       5. Additional Specification: None. Additional specification can
            be quoted and invoiced as required.

    This annual agreement, additional specification, price, payment and the terms and conditions together form a legally binding contract.

     

    Entrymaster Terms & Conditions for Organisers

     

    Entrymaster is the complete online entry and registration solution, which offers a professional, fast and efficient service, which saves time and money whilst you stay in full control.

    INTERPRETATION

     

    The definitions and rules of interpretation in this clause apply in these terms and conditions.

    Contract: the annual agreement for 2014 which ends 31st December 2014, the coverage, price, additional specification and these terms and conditions.

    Customers: Otherwise known as the user, exhibitor or entrant whom use the Entrymaster software to pay for Services from the Organiser.

    Organiser: the person, organisation, customer or company named as the Organiser in the agreement.

    Services:  the services to be provided by the Supplier under the Contract.

    Supplier: Entrymaster Limited (company number: 6474262).

    VAT: Value added tax chargeable under English law for the time being and any similar additional tax.

      1. TERMS

    IF YOU DO NOT AGREE TO ANY OF THE TERMS, CONDITIONS, RULES, POLICIES OR PROCEDURES, DO NOT USE OR ACCESS THE SERVICES.

    The services are owned and operated by Entrymaster Ltd.  By using or accessing any part of the services, you agree to all of the terms and conditions contained in this document or within the Entrymaster website or any sub- domains. If you do not agree to the terms, conditions, rules, policies or procedures, do not use or access the services. Entrymaster reserves the right to modify or replace any of the terms or conditions at any time. It is your responsibility to check the terms and conditions for changes periodically which will be available on our website. If you choose to enter any details, events or registration information using the Entrymaster software following any alterations to the terms and conditions, this will constitute your acceptance of all the changes.

       2. APPLICATION OF CONDITIONS

    These conditions shall apply to and be incorporated in the Contract; and prevail over any inconsistent terms or conditions contained in, or referred to in, the Customer's purchase order, confirmation of order, or specification, or implied by

    law, trade custom, practice or course of dealing. Any variation of the Contract shall be in writing.

        3. FORMATION OF CONTRACT

    The Contract shall be formed on the Parties signing the Agreement, or the Supplier's commencement or execution of work pursuant to the additional specification (whichever is the earlier).

       4. SUPPLIER'S OBLIGATIONS

    The Supplier shall use reasonable endeavours to manage the Agreement and to deliver the Deliverables to the Customer, in accordance in all material respects with the coverage and additional specification.

       5. ABOUT US

    Entrymaster is used for Organisers, whom put on events, sell tickets, have a membership or registration service and sell merchandise and provides quick, simple online processing and full reporting. These terms and conditions cover Organisers whilst we also have a set of terms and conditions, which we request all Entrants/Exhibitors/Users to agree.

    Payments are all transacted through PayPal.

       6. ORGANISATION INFORMATION – USE OF SERVICES

    Entrymaster grants you a non-exclusive, non-transferable right to access and use the Services solely for the following purposes (provided that the Customer has paid to the Supplier all sums due under the Contract) creating event entry pages, selling tickets, merchandising, membership and registration services, tracking payments and event reports. Organisers or any person acting on an Customer/Organisers behalf must not modify, reproduce, sell, licence or try to copy in any way the structure or code without the written consent of Entrymaster.

       7. SERVICE FEES

    All payments are processed using Paypal therefore all Organisers require a Paypal account to use the Entrymaster service. All monies taken via the Organisation entry pages are sent directly to their own Paypal account. Organisers can choose to charge the competitors/entrants/exhibitors service fees as they require and add this cost to the set up pages within Entrymaster secretary area.  Organisers can choose the cost of all charges made to entrants for entries, registrations and merchandise including different options for members or late entries. Paypal fees are charged separately from and independently from Entrymaster. Organisers are liable for all Paypal fees incurred.  The Organiser is liable for Standard Entrymaster transaction fees (normally 3%) or 50p per transaction for the Entrymaster “Lite” service only, which will be invoiced quarterly based on the total value of tickets/classes/registrations/merchandise made online and is described in more detail on the front page of this agreement.  An additional service fee to cover hosting and email support shall be due and payable upon receipt of the invoice.      The Organiser accepts the responsibility for providing refunds to any/all customers at your own discretion. The Organisers refund policy should be clearly set out in the terms and conditions of entry. Entrymaster will not be responsible or liable for any refund of any kind including that of tickets, registration, membership and merchandise at any time for any reason whatsoever. All successful entries registered with Entrymaster will receive a confirmation email. A copy of this will also be sent to the Organiser email address. Paypal confirms by email all transactions to both the Organiser secretary and the entrant. Entrymaster does not charge the Organiser for the processing of any postal entries added to their events. It is the Organiser responsibility to verify the entrants status is correct and that the entry details are acceptable.

    The Organisation shall pay each invoice submitted to it by the Entrymaster in full, and in cleared funds, within 14 days of receipt.

       8. CHANGE CONTROL

    If either party requests a change to the scope or execution of the Services, Entrymaster shall, within a reasonable time, provide a written estimate to the Customer of:

    (a) the likely time required to implement the change;

    (b) any variations to the Supplier's charges arising from the change;

    (c) the likely effect of the change on the Services; and

    (d) any other impact of the change on the terms of the Contract.

    If Entrymaster requests a change to the scope of the Services, the Customer shall not unreasonably withhold or delay consent to it.  If the Customer wishes Entrymaster to proceed with the change, the Supplier has no obligation to do so unless and until the parties have agreed in writing on the necessary variations to its charges, the annual agreement and any other relevant terms of the Contract to take account of the change.

       9. ADDITIONAL SPECIFICATION

    Any fixed price contained in the additional specification excludes the cost of hotel, subsistence, travelling and any other ancillary expenses reasonably incurred by the project team in connection with the Services, and the cost of any materials or services reasonably and properly provided by third parties required by the Supplier for the supply of the Services.  Such expenses, materials and third party services shall be invoiced by the Supplier at cost; and VAT, which the Supplier shall add to its invoices at the appropriate rate.

    10. REGISTRATION OBLIGATIONS

    To be a registered user of the Services as an Organiser you agree to provide true, accurate, current and complete information about yourself as an Organiser. If you provide any information that is untrue, inaccurate, not current or incomplete, or Entrymaster has grounds to suspect that some information is not true or inaccurate, Entrymaster has the right to terminate your account and any future use of the Services.

    11. ENTRANTS REGISTRATION OBLIGATIONS

    Anyone using Entrymaster, organiser or entrant must be at least 16 years of age to register and enter any event or competition, register any form of membership or to make a purchase of any sort to comply with the terms of use of Paypal and any other third party.

    To activate your registration you will be required to add your email address and create a password. Please keep this safe as Entrymaster cannot be held responsible for any activities, which take place within your account.

    Customers of Entrymaster must provide true and accurate information about themselves and any animals. Failure to do this may cause Entrymaster to suspend or delete these accounts. Accounts activated but not used will be cleared periodically and requests for account to be deleted will be adhered to as required.

    12.  SYSTEM CONTENTS

    Any organiser using the Entrymaster software agrees that all information, photographs, graphics and logos are protected and that all copyrights and intellectual property rights are lawful. Entrymaster accepts no responsibility for Organisers whom use any material, which is not deemed theirs to use. No content of the Entrymaster system should be copied or reproduced in any way and cannot be adapted or modified without written permission.

    Any information added to the Entrymaster site by the Organiser or Entrymaster staff themselves can be modified, distributed or published free of charge in any media. Organisers grant Entrymaster a licence and authority to use the information for any purpose for the duration of the contracted year. It is likely that the Organisation name and logo will be used in marketing Entrymaster services.

     Anyone using Entrymaster services of any kind will be liable for its content. Although Entrymaster staff will monitor content of the website, we reserve the right to change, alter or suspend any services without prior notice.

    13. ADDED SERVICES

    Entrymaster will continually adapt and improve its services to Organisers free of charge. Any additional services, which become available at an additional cost will be added to as an addendum to the initial contract with any fees clearly set out. We will require written authority from the Organiser to add any additional paid services before they are introduced.

    14.  DISCLAIMER

    Entrymaster is committed to ensuring services are available 24/7. We try to ensure the website is fully available at all times, but we do not guarantee this. For technical reasons, the website may be unavailable at some times, and we cannot guarantee that you will be advised of this in advance. Entrymaster shall have no liability to the Organiser under the Contract if it is prevented from, or delayed in, performing its obligations under the Contract or from carrying on its business by acts, events, omissions or accidents beyond its reasonable control, including, without limitation, strikes, lock-outs or other industrial disputes (whether involving the workforce of the Supplier or any other party), failure of a utility service or transport network, act of God, war, riot, civil commotion, malicious damage, compliance with any law or governmental order, rule, regulation or direction, accident, breakdown of plant or machinery, fire, flood, storm or default of suppliers or sub-contractors. The accuracy of information held within the Entrymaster system is the total responsibility of the Organiser and any other users of the system.

    15. INDEMNITIES

    Entrymaster directors and employees cannot be held responsible for any loss whatsoever, including liability or damage for costs caused directly, indirectly or as a consequence arising from using the Entrymaster services. No refunds of any kind will be authorised.

    Should any Organiser wish to terminate their account with Entrymaster then you will no longer have access to the system or any services. Entrymaster reserve the right to delete any information held in relation to your service following twelve months of no signed contract being received.

    16. TERMINATION

    Entrymaster has sole discretion to terminate any passwords or accounts and your right to use the Services at any time for any reason or without giving reason. Entrymaster may also remove and discard any and all of your information held within the services, including files relating to your account and shall not be liable to you or any third party in any way.

    17. PRIVACY

    All information provided by you or by Entymaster in connection with the Services is governed by our Privacy Policy. A copy of which can be found at www.entrymaster.co.uk. Organisers should note that Entrymaster may use information it receives or collects from Customers for marketing or promotion of other events or services that may be of interest. Entrymaster does not control and shall not be responsible for the acts of you or any other users (whether Organisers, Customers or otherwise) of the Services.

    18. CHANGES

    Any changes to the terms and conditions of your agreement with us will be forwarded to you in writing.

    19. RENEWALS

    This Contract renews automatically on the renewal date (1st January of each year) and subsequent years. Unless the agreement has been cancelled, all invoices will be sent to the main contact listed within our records.     Initial one off set up cost: £179.00. Renewing customers will not be invoiced this cost.

    This includes testing of all components, functionality, compatibility and go live testing.

    Transaction Fees will be charged at 3% of online transactions payable quarterly.

    Hosting & Support

    Additional hosting and entrant support fee, payable to cover to 31st December 2018 is £264, payable within 14 days of live access to Organiser pages.

    All additional Secretary support is charged at £20 per hour.

    4. Delivery Dates:

    Within one week of a signed contract.

    5. Additional Specification: Any additional specification will be quoted and invoiced separately.
